Terms and Conditions for the Sale of Services/Products

 

1.0 Application

1.1 The following Terms set out the legal terms and conditions that will govern our provision of services to you. You should understand that by placing an order with us, you agree to be bound by these Terms.

2.0 Who Are The Bigger Picture Training Company?

2.1 The Bigger Picture Training Company are a company registered in England (No. 13474566) whose registered address is 17 High Street, Corby Glen, Nr Grantham, Lincs, NG33 4LU.

3.0 Terminology (Definitions and Interpretation)

3.1 In these Terms, except where the context otherwise requires:

  • “Booking Order Form” means the form set out upon booking a service with The Bigger Picture Training Company and which includes information such as services/products purchased, the start date and fee to be paid.

  • “Contract” means the contract between us to provide our Services to you, on these Terms, once the Confirmation is sent to you.

  • “Contract Start Date” means the date as stated in the Contract Details Order Form.

  • “Customer” (also ‘you’, ‘your’) means you as the party who purchases one or more of our Services.

  • “Fees” means the VAT exclusive element of the fees for the Services (as applicable).

  • “Intellectual Property Rights” means patents, rights to inventions, copyright and related rights, trademarks, business names and domain names, rights in get-up, goodwill and the right to sue for passing off, rights in designs, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how), and all other intellectual property rights, in each case whether registered or unregistered and including

All applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.

  • “Learning Platform” means the online resource whereby you can access our Services electronically.

  • “Services” means any and all e-learning course materials, reports, certificates, badges and other online resources provided to you as a part of your Licence.

  • “Terms” means these terms, together with our Privacy Policy and Standard Terms

  • “Website” means the website at www.TheBiggerPictureTrainingCompany.co.uk where you can choose to purchase an e-learning course and (where applicable) be redirected to the Learning Platform.

4.0 Payment

4.1 Payment of the Fees set out in the attached Booking Order Form shall be made in full upon booking a service of the date of the invoice issued by The Bigger Picture Training Company.

4.2 We may charge additional Fees for our Services where these Services have been requested by you and agreed with you.

5.0 How we use your information

5.1 We process information about individuals in accordance with our Privacy Policy. Please refer to the policy on our website for information on how personal information will be handled and processed by us. By using our services or website you consent to such processing and you promise that all personal and other data provided by you is accurate

5.2 The Data Processing Agreement that is applicable to these Terms and the Services and which you agree to be bound by can be found at here.

6.0 Our right to vary these Terms

6.1 We reserve the right to make changes to these Terms.  We may need to do this at any time and without prior notice to you. Please check these Terms regularly to take notice of any changes made. Your continued use of our Services after changes are made constitutes acceptance of these Terms as modified.

 7.0 Intellectual property rights including copyright restrictions

7.1 The Bigger Picture Training Company are the owners or the licensee of all Intellectual Property Rights in the content of our Services. No part of the website or Services including content, information, documents, logos, names, audio, video, or icons may be copied, posted, broadcast, republished or reproduced in any format whatsoever without the prior written permission of the copyright holders.

7.2 We make reference to both internal (The Bigger Picture Training Company) and external (non-The Bigger Picture Training Company) websites and sources. These sources will most often be free to access, but users may sometimes be asked to register or subscribe in order to view content. External links and sources are selected and reviewed when the page is published. However, The Bigger Picture Training Company is not responsible for the content or views represented within any external websites.

7.3 We may link to external websites which also offer commercial services, such as online purchases. The inclusion of a link to an external website from The Bigger Picture Training Company should not be understood to be an endorsement of that website or the site's owners (or their products/services).

8.0 Compatibility of Services

8.1 All potential clients if The Bigger Picture Training Company must take responsibility in viewing the technical specifications required to access our services or telephone our Customer Services team. To the extent permitted by law, we accept no responsibility or liability for your failure to use all or part of our services due to your computer system (including internet provider) not meeting the specifications required to utilise the Services. We are under no obligation to provide the Services by an alternative means if your system does not meet the specifications required to utilise the Services.

9.0 Warranty

9.1 You acknowledge and agree that the Services operate as a guide for business training purposes only. As such, to the extent permitted by law, we accept no liability of any nature whatsoever if, following the use of our Services, a situation occurs giving you (or any of your users) the opportunity to apply the skills taught during the use of our Services, but notwithstanding such training, loss or damage is sustained by you (or any of your users).

9.2 We shall use our reasonable endeavours to ensure that the descriptions and content that comprise our Services are current and up to date. However, we do not give any warranty as to the accuracy of any such information or its suitability for any purpose for which you may wish to purchase, or otherwise.

9.3 The nature of the Services are that they will need to be updated and revised from time to time. Some training and learning courses will be refreshed and others may be discontinued or replaced as necessary. We will endeavour to inform you in advance of changes and replacement or alternative courses that are available.

 10.0 Unlimited access and fair usage

10.1 The Bigger Picture Training Company services are for all adults working with and caring for children and young people within educational and healthcare contexts, and who perceive the services on offer to be of genuine use in the course of their duties. The Bigger Picture Training Company reserves the right to limit or deny access to users found to be in breach of these Terms.

 11.0 Cancellation

11.1 If a customer is unable to attend a service they have purchased using the ‘Booking Order form’, they should contact The Bigger Picture Training Company at their earliest opportunities. Decision to issue refunds or transfer a booking will be made on an individual basis and will be at the discretion of The Bigger Picture Training Company.

11.2 If The Bigger Picture Training Company has to cancel a service, they will let customers know at the earliest opportunity. Learners will be offered a refund or alternative arrangements will be made. 

12.0 Ordering a Service through our website

12.1 Customers may place an order with us through our website in relation to the Services sold on our website.

13.0 Code of Conduct

13.1 By agreeing to these terms you are agreeing to follow and adhere to The Bigger Picture Company values of: Respect, Ethical practice, Inclusion, Promoting Positivity, Accessibility. Any person(s) who fail to uphold these values may have their custom terminated. 

13.2 We will not accept any behaviour which breaches The Bigger Picture Training Company’s Equal Opportunities Policy Statement. Any person(s) who fails to adhere to this statement may have their custom terminated.

14.0 General

 14.1  You may not transfer any of your rights under these Terms to any other person. We may transfer our rights under these Terms where we reasonably believe your rights will not be affected.

14.2 The Contracts (Rights of Third Parties) Act 1999 shall not apply to these Terms and no third party will have any right to enforce or rely on any provision of these Sales Terms.

14.3 If any court or competent authority finds that any provision of these terms and conditions (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision will, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of these Terms will not be affected.

14.4 Unless otherwise agreed, no delay, act, or omission by a party in exercising any right or remedy will be deemed a waiver of that, or any other, right or remedy.

14.5 These Terms will be governed by and interpreted according to English law. All disputes arising under these Terms will be subject to the non-exclusive jurisdiction of the English courts.

PLEASE ENSURE THAT YOU HAVE READ AND FULLY UNDERSTOOD THE STANDARD TERMS AND CONDITIONS FOR THE PURCHASE OF PRODUCTS AND SERVICES AS THESE WILL GOVERN THE AGREEMENT BETWEEN YOU AND THE BIGGER PICTURE TRAINING COMPANY TO THE EXTENT NOT SET OUT ABOVE.
